Terms of Service

These Terms of Service ("Terms") govern your use of the website and services provided by Forling Information Technology Co., Ltd. ("Forling"). By accessing our website or engaging our services, you agree to these Terms.
1. Services
Forling provides full-stack software development services including but not limited to MVP development, internal tools, API integrations, and consulting. The specific scope, deliverables, timeline, and fees for each project will be outlined in a separate Statement of Work (SOW) or project agreement.
2. Payment Terms
Payment terms are specified in each project agreement. Typically, we work on a milestone-based payment structure. Invoices are due within the timeframe specified in the agreement. Late payments may incur interest charges.
3. Intellectual Property
Upon full payment, the client receives ownership of the custom source code and deliverables created specifically for the project. Forling retains the right to use general knowledge, skills, and experience gained during the project. Any third-party libraries or tools remain subject to their respective licenses.
4. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. We are happy to sign NDAs before discussing project details.
5. Warranty & Support
We warrant that our deliverables will conform to the specifications in the project agreement. Post-delivery bug fixes and support terms are specified in each project agreement.
6. Limitation of Liability
To the maximum extent permitted by law, Forling's total liability arising out of or related to the services shall not exceed the total fees paid by the client for the specific project in question.
7. Termination
Either party may terminate a project engagement with 30 days' written notice. The client will be responsible for payment of all work completed up to the termination date.
8. Governing Law
These Terms are governed by the laws of the People's Republic of China. Any disputes shall be resolved through good-faith negotiation, and if unresolved, submitted to the courts of Wuxi, Jiangsu Province, China.
9. Changes to Terms
We may update these Terms from time to time. Continued use of our services after changes constitutes acceptance of the updated Terms.
